Software license agreement.

The end-user license agreement (EULA) for every NetArt Media script.

Important: please read this agreement carefully. By downloading, installing or using all or any part of the software, you accept all the terms and conditions of this agreement. You agree that this agreement is enforceable like any written agreement signed by you. If you do not agree to these terms, do not install or use the software.

1. Definitions

  • "Software Product" or "Software": the NetArt Media script you bought, including its computer code, associated media, printed materials and electronic documentation.
  • "Licensee": you, the individual, company or legal entity entering into this agreement.
  • "NetArt Media": the developer and legal owner of the Software Product.

2. Grant of license

  • Standard license: this agreement grants the Licensee a non-exclusive right to install and use one (1) copy of the Software Product for one (1) website and a single primary domain name.
  • Enterprise license: if the Licensee has bought the Enterprise license, NetArt Media grants the right to use the Software Product on an unlimited number of computers, websites or projects.
  • Restrictions: the Licensee shall not assign, sublicense, transfer, pledge, lease, rent or share their rights under this agreement, and shall not resell or redistribute the source code as a standalone product.

3. Intellectual property and copyright

Ownership: all title, copyrights and intellectual property rights in and to the Software Product (including images, source code and text incorporated in it) are owned exclusively by NetArt Media.

Protection: the Software Product is protected by the copyright laws of the Republic of Bulgaria and by international treaties. The Licensee must treat the Software like any other copyrighted material.

4. Refunds and installation guarantee

Because the Software is a digital good delivered with its unencrypted source code, the following terms apply:

  • Installation guarantee: if NetArt Media's technical team cannot install and configure the Software Product on the Licensee's server, provided the server meets all minimum technical requirements, the full purchase price is refunded.
  • Digital goods: the Software Product is considered delivered once it has been installed or downloaded. Once the Software is installed and confirmed to work on the Licensee's server, the sale is final and non-refundable.
  • Business purchase: this agreement is a business-to-business (B2B) contract. Consumer "cooling-off" periods or statutory rights of withdrawal do not apply to this commercial license once digital delivery has started.
  • Not eligible: refunds are not granted for a change of mind, for features that are clearly absent from the public live demo, or for failure to meet the technical requirements after the source code has been delivered.

See the full refund policy.

5. No warranties

  • "As is": the Software Product is provided "as is", without warranty of any kind, expressed or implied, including warranties of merchantability or fitness for a particular purpose.
  • Risk: the Licensee assumes the entire risk regarding the use, performance and results of the Software Product.
  • Content: NetArt Media is not liable for the content of any website powered by the Software Product.

6. Limitation of liability

To the maximum extent permitted by law, NetArt Media and its distributors shall not be liable for any damages whatsoever (including loss of profits, business interruption or loss of information) arising from the use of or inability to use the Software, even if advised of the possibility of such damages.

7. Termination

NetArt Media may terminate this agreement immediately if the Licensee does not comply with any of its terms. On termination, the Licensee must uninstall the Software and destroy all copies of the Software Product, its source code and documentation.

8. Governing law and jurisdiction

This agreement is governed by the laws of the Republic of Bulgaria. The courts of Sofia, Bulgaria, have exclusive jurisdiction over any dispute arising under it.

9. Acknowledgment

The Licensee confirms having read and understood this agreement and agrees to be bound by its terms. This is the entire agreement between the Licensee and NetArt Media. If any part of it is found invalid, the rest remains in full force.
